You don't know anything about vPro/ME you? ME is similar to HPs iLo .. it's an entire mini operating system/firmware on the hardware in case you screw up the software on the actual server. (If you have a rack of 1,000 servers, you can see why this is important).

It grants full console access and is attached directly to the north bridge in order to preform diagnostics. It runs independently of the OS and has its own memory space when the host OS is running, but if you boot directly into it, it runs as the primary OS. It does have total direct memory access to the host OS, even while it's running.

The management engine's potential for backdooring is well known. AMD has a similar setup.

There are people who have attempted to disable and remove ME. It's pretty difficult .. lots of things that, if you chance, will just brick the motherboard. There are a lot of signature and checksum checks.

Also, a way has been found to disable the engine. Note that it may also deactivate any late version of Windows (many W7 installs included) and not let you reactivate them.
